1. Acceptance of Terms

By accessing our website or engaging Agency Name LLC ("Company," "we," "us," or "our") to provide services, you agree to be bound by these Terms of Service. If you do not agree to these terms, please do not use our services.

2. Services

We provide digital marketing services including but not limited to search engine optimization (SEO), web design and development, content strategy, and performance optimization. The specific scope of services will be defined in a separate Statement of Work or Service Agreement signed by both parties.

We reserve the right to modify, suspend, or discontinue any service at any time with reasonable notice to affected clients.

3. Payment Terms

Payment terms, rates, and billing schedules will be specified in your individual service agreement. Generally:

  • Monthly retainer services are billed in advance
  • Project-based work follows the payment schedule in your proposal
  • Late payments may incur a late fee of 1.5% per month
  • We reserve the right to pause services for accounts 30+ days overdue

4. Intellectual Property

Upon receipt of full payment, you own all deliverables created specifically for you (website code, written content, design assets). We retain ownership of our proprietary tools, methodologies, and any pre-existing intellectual property used in your project.

5. Limitation of Liability

While we strive to achieve the best possible results, we cannot guarantee specific rankings, traffic levels, or revenue outcomes, as search engine algorithms and market conditions are outside our control. Our liability is limited to the fees paid for the specific service in question in the 30 days preceding any claim.

We are not liable for indirect, incidental, consequential, or punitive damages arising from your use of our services.

6. Termination

Either party may terminate services with 30 days written notice. You remain responsible for payment of all services rendered up to the termination date. Upon termination, we will transfer all your assets, credentials, and data to you within 15 business days.

7. Governing Law

These Terms are governed by the laws of the state of CA, without regard to its conflict of law provisions. Any disputes will be resolved in the courts of Anytown, CA.

8. Changes to Terms

We reserve the right to update these Terms at any time. We will notify you of significant changes via email or a notice on our website. Continued use of our services after changes constitutes acceptance of the updated Terms.
